租约尚未到期,但生意连年亏损,想单方面毁约,宣布破产,一走了之。请教了解租约法律的朋友,这样做有什么后果?

本文发表在 rolia.net 枫下论坛与别人合伙开个有限公司,在某商场租下一个店铺作生意。由于近几年金融危机的影响,生意一直亏损,尽管可以勉强交付租金,但两个股东天天起早摸黑到店里经营管理,却连自己的薪水都不能保证。现在股东意见分歧。一个不想再干了,提出马上关门走人。另一股东不同意,因为租约还要三年才到期,担心单方面毁约会造成严重后果。听说Corporation破产后,业主就不能追讨租金了。但是租约上是两个股东的签名,其中一位股东还刚买了房子。有两个问题:
1.如果真的宣布破产,关门走人,业主会向签名的两个股东讨债吗?
2.这样单方面毁约的后果如何?

下面是租约上有关毁约的条款,哪位翻译高手能帮忙解释一下?

Notwithstanding any Applicable Laws, upon the occurrence of any Event of Default the full amount of the current month's and the next three (3) months' instalments of Minimum Rent, Percentage Rent (calculated on the basis of the average monthly Percentage Rent payable during the previous Rental Year), Sales Taxes and Additional Rent will become due and payable and, at the option of the Landlord, this Lease shall be terminated and the full amount of the Rent for that part of the Term that would have remained but for the termination of this Lease will
become due and payable. If this Lease is so terminated, the Landlord, to the extent permitted by law, may immediately repossess the Premises and expel all Persons from the Premises and may remove all property from the Premises, sell or dispose of it as the Landlord considers appropriate, or store it at the cost of the Tenant, all without notice, without legal proceedings, and without

    • 1. 如果股东有 PERSONAL GUARANTEE,那要 PERSONAL LIABLE FOR DEBTS 的。2. 欠债还钱,被 SUE 呗。这段说的是如果租客 DEFAULT 了,就要交 XXXXX 钱。LEASE 就终止了。房东可以撵人,东西随房东处置或买或存。房东会采取各种措施追缴债务,补偿损失。

        • 最好的办法是如果决定了,没事就去磨房东,争取自己损失些,房东得些,就罢了。打官司,也行,一是拖的时间精力很大,二是八成你得输。
    • 以有限公司的名义签的租约一旦公司倒闭或者股东跑了房东没有办法最会损失。所以,房东通常在签租约的时候会要求担保。你们几个有没有给房东个人担保,或者给房东SIN?如果签了或给了,欠债就会追到个人头上。
